This role requires knowledge of and demonstrated experience in general corporate matters including, without limitation, mergers & acquisitions, corporate formation, corporate structuring, drafting and review of operating agreements, bylaws, shareholder agreements and other similar corporate documents, equity purchase and sale transactions, corporate governance, tax and liability structuring and contracts drafting & review. What You’ll Do

  • Support senior counsel in serving as a reliable point of contact for business clients on a variety of corporate and transactional matters.
  • Draft and initial review of foundational agreements related to business formation, governance, and day-to-day operations.
  • Assist in the execution of mergers and acquisitions, corporate restructurings, and other strategic transactions.
  • Draft and review corporate documents including operating agreements, shareholder agreements, buy-sell agreements, and partnership agreements.
  • Conduct detailed legal research on corporate compliance, risk management, and governance to support the delivery of high-quality legal counsel.
  • Collaborate effectively with partners and senior attorneys to provide seamless support on complex transactions and client-facing projects.
  • Foster positive client relationships through responsive communication and consistent delivery of accurate, timely work product.

What We’re Looking For

  • 3-8+ years of experience
  • Juris Doctorate from an accredited university
  • Licensed to practice law in the state of Colorado
  • Ability to work independently and as part of a team conducting research, preparing legal documents, and performing other duties to ensure clients receive the best and most cost-effective legal solutions
  • Develop implementation strategy and coordinate and consummate preparation of relevant documents

Key Results

  • Demonstrated experience advising RIAs, fund managers, or investment sponsors on securities and regulatory matters.
  • Strong background in preparing private placement memoranda and related disclosure documents.
  • Juris Doctor from an accredited law school.
  • Licensed to practice law in Colorado (or ability to obtain admission).

Skills and Abilities

  • Ability to independently run point on private placement exemptions from SEC registration, with expert-level command of Regulation D (Rules 506(b) and 506(c)), Regulation A, and other primary registration exemptions.
  • Advanced capability in analyzing investor profiles (e.g., accredited vs. non-accredited status) to determine, select, and execute the most appropriate exemptions from securities registration.

Our client is seeking a senior-level transactional tax attorney to join its Advanced Tax Strategies (ATS) group. This role is designed for an attorney with substantial hands-on experience drafting and implementing sophisticated tax planning and transactional structures for entrepreneurs, closely held businesses, and high-net-worth clients.

This is a key leadership role within ATS and involves close collaboration with the firm’s corporate practice group, significant client-facing responsibility, and independent management of complex matters from initial structuring through final implementation.

KEY RESPONSIBILITIES:

Advanced Transactional Tax Planning & Drafting

About the Role

As our Corporate Tax Attorney, you will be the structural architect for complex business transitions, domestic mergers and acquisitions, and multi-entity organizational designs. What You Will Do (Core Responsibilities)

  • Risk Mitigation & Due Diligence: Issue-spot latent deal risks and conduct comprehensive tax due diligence to insulate clients from historical successor liabilities.
  • Entity Structuring & Governance: Advise entrepreneurs and investors on optimal choice-of-entity strategies (C-Corp, S-Corp, LLC, LP) and draft tailored, complex governance frameworks (LLC Operating Agreements, Partnership Agreements, Buy-Sell agreements).
  • Specialized Corporate Setups: Design and build complex, multi-entity corporate structures, including IP holding companies, management services companies, and equipment leasing subsidiaries.
  • Real Estate Capital & Asset Structuring: Advise on complex real estate capital allocations, utilizing 1031 like-kind exchanges and sophisticated developer or inventory land banking structures.
