Our client is a fast-growing, entrepreneurial law firm dedicated to helping business owners, entrepreneurs, and investors build, protect, and scale successful companies. As our firm continues to grow and expand, we are seeking a Senior Corporate Attorney to join our thriving Corporate Law practice. This role requires knowledge of and demonstrated experience in Tax Law, Corporate services and complex transactions with 8+ years of relevant experience and a desire to serve their clients exceptionally.
What You Will Do
- Proportionately contribute to overall client satisfaction and firm revenue/profitability goals
- Develop new client referral sources for business development on an annual basis that leads to growth for the Practice and Firm
- General corporate and M&A activities: Includes drafting governing documents (LLC and Partnership Agreements), Purchase and Sale Agreements, Merger Agreements, and other similar corporate agreements and transactional documentation, such as Buy/Sell Agreements, Shareholder/Investor Agreements, Equity Incentive Plans and Award Agreements.
- M&A Transaction Support: Part of M&A team to assist as tax counsel, with specific focus on drafting/review of tax related provisions of transaction documentation, issue spot and analysis of tax impact of transaction structure, and engage with other tax advisors (i.e., CPAs and opposing tax counsel)
- Corporate Tax Support: Perform research, preparing legal documents, analysis of transaction structure, and performing other duties to ensure clients receive the best and most cost-effective legal solutions for merger and acquisition transactions, including of familiarity with tax-free acquisition/merger structures, corporate conversions, partnership agreements S-corp (limitations and transaction based F-reorg structures), and exit strategies generally
What We Are Looking For
- 8 + years of relevant law firm experience
- Juris Doctorate from an ABA accredited law school
- Licensed to practice law preferably in the state of Colorado
- LLM preferred (equivalent considered)
- 1202 and 409A experience as preferred but not necessary
- Preferred but not required, familiarity with ESOPs, as pertains to general corporate governance, special purpose corporate structures such as, IP holding company, Profits Interest, Management/Services Company, Equipment Leasing, etc.
- Real Estate Investment Support: 1031 like-kind exchange structuring and analysis. General knowledge regarding real estate developer/inventory, i.e., land banking, structures
- Intergroup Coordination: Act as liaison and coordinator with Advanced Tax Strategies and T&E groups as needed
- Excellent drafting skills coupled with the ability to formulate, consider and select the most appropriate solutions, including visualization of related-entity relationships for client understanding
- Strong organizational skills and a self-starter with the ability to prioritize/manage workflow to meet deadlines
- Top candidates will display natural leadership qualities with exceptional interpersonal, written, and speaking skills; must be willing to engage regularly with clients
- Team-oriented leader who values the opportunity to supervise and mentor junior attorneys and contribute to the firm’s internal talent pipeline.
Compensation & Benefits
- Salary Range: $155,000 – $170,000 (commensurate with experience)
- Quarterly Bonus Potential – from 3% to 16% of total realized revenue with no billable hour requirements. Bonuses are tied to clear objective metrics, offering substantial earning potential for high performers.
