🚀 About the Opportunity
We are a rapidly growing, full-service business law firm seeking a Senior Corporate Securities Attorney to join our Corporate Practice Group. This role is ideal for an experienced attorney with a strong background in private securities offerings, private fund formation, and advising registered investment advisers (RIAs).
You will work closely with investment sponsors, founders, and advisory firms, providing strategic legal guidance in a dynamic and entrepreneurial environment.
🔑 Key Responsibilities
- Advise clients on U.S. federal and state securities laws, focusing on private placements and exemptions from SEC registration
- Counsel registered investment advisers (RIAs) on compliance, governance, and regulatory matters
- Draft and oversee:
- Private placement memoranda (PPMs)
- Subscription agreements
- Operating agreements
- Support private fund formation and offering activities
- Identify securities compliance risks and deliver practical legal solutions
- Interpret and apply FINRA rules and state securities regulations
- Monitor regulatory changes and develop compliance policies and training programs
- Manage multiple client engagements and collaborate with financial and legal professionals
- Mentor junior attorneys and support staff
âś… Required Qualifications
- 5+ years of experience in securities law
- Strong experience with:
- Private securities offerings (Reg D, Reg A, Reg S)
- Venture capital financing
- Startup and emerging company counseling
- Private fund formation
- Experience advising RIAs, fund managers, or investment sponsors
- Proven ability to draft private placement memoranda and disclosure documents
- Juris Doctor (JD) from an accredited law school
- Licensed to practice law in Colorado (or ability to obtain admission)

- Salary Range: $144,000 – $160,000 (DOE)
- Quarterly Bonus: 3% – 16% of realized revenue (no billable hour requirement)
