🚀 About the Opportunity
We are seeking a Senior Corporate Attorney to join a fast-growing, entrepreneurial legal team focused on supporting business owners, entrepreneurs, and investors.
This role is ideal for an experienced attorney with a strong background in corporate law, M&A transactions, and tax structuring, who thrives in a high-performance, client-focused environment.
🔧 Key Responsibilities
- Lead and support corporate and M&A transactions, including drafting:
- LLC & Partnership Agreements
- Purchase & Sale Agreements
- Merger Agreements
- Shareholder & Investor Agreements
- Equity Incentive Plans
- Provide tax counsel on M&A deals, including:
- Drafting/reviewing tax provisions
- Structuring transactions for tax efficiency
- Collaborating with CPAs and external advisors
- Conduct corporate tax research and analysis, including:
- Tax-free reorganizations (F-reorgs)
- S-corp structuring and limitations
- Exit strategies and entity structuring
- Support real estate investment transactions, including:
- 1031 like-kind exchanges
- Development and land banking strategies
- Act as liaison across internal legal teams and tax strategy groups
- Contribute to business development and client growth initiatives
- Mentor and supervise junior attorneys
✅ Required Qualifications
- 8+ years of experience in corporate law and M&A transactions
- Juris Doctor (JD) from an ABA-accredited law school
- Licensed to practice law (Colorado preferred)
- Strong expertise in:
- Corporate governance and transactional law
- Tax structuring and analysis
- Exceptional drafting, analytical, and problem-solving skills
- Proven ability to manage multiple priorities and meet deadlines
- Strong communication and client-facing skills
⭐ Preferred Qualifications
- LLM in Taxation (or equivalent experience)
- Experience with:
- Section 1202 & 409A
- ESOPs and complex entity structures
- IP holding companies, profits interests, and management companies
- Familiarity with advanced tax planning strategies
